Corporate and M&A
Protecting established businesses and helping small ones to grow

All companies, large or small, have rights and duties in the eyes of the law. Our team has an established history providing counsel to businesses of all sizes as well as individual entrepreneurs to ensure that their activities are in full compliance with the law.

A lawyer, of course, is not an entrepreneur. However, your legal counsel should still be a problem solver.  Corporate Law lawyers help clients to navigate the regulations they may not be familiar with as well as highlighting those, even with good intentions, which could accidentally be violated. This calls for not only a high level of legal experience and competence but also a constant attention to the business activities. This is where the personal relationship PF Law has with its clients really comes into play.

Many law firms can offer expertise – but they may lack practical and actual the experience in the sector and, even more important, the attention to the clients evolving business requirements. When a client becomes a mere number, an entry into a time sheet, it is easy to lose sight of the specific needs of their business as well as the legal and regulatory traps that they could fall into. This is why our team members take pride in developing business friendship with clients – enabling us to work closely together with clients to avoid these pitfalls.

All of our clients, whether individuals or businesses, receive ad hoc counsel:

  • We recognise that each client has a unique story
  • We recognize their individual needs (acquisitions, overseas transactions, establishing overseas business branches, etc.);
  • We recognize the unique characteristics of their business activities (legislative context, possible startup status, type of company, etc.).

This way, PF Law, working closely together with the client, can trace the best path forward and minimize the risk of facing legal or legislative challenge.

What does a Corporate Law lawyer do?

There are many situations which require the intervention of a Corporate Law lawyer – sometimes even before a company is officially established. For this reason, PF Law offers a wide range of counsel to cover all needs in terms of establishing, running, buying, selling, expanding, and also closing down a business activity.

Our services:

Contracts

Signing a contract means making a commitment in the eyes of the law. For this reason, PF Law pays particular attention to analyzing any contracts proposed by third parties.  In this way we ensure that any contracts our clients enter into are in our client’s best interest. Our team is also well versed in the drafting of all kinds of contracts – from employment contracts to shareholder agreement in addition to updating old contracts or renegotiating new ones.

M&A (Corporate Mergers & Acquisitions)

When a matter concerns a Merger or Acquisition the role of the legal counsel is to mediate between the Client and the legal counsel of the counterparty – which includes:

  • Studying the pros and cons of an opportunity
  • Focusing any mediation on the protection of the client’s interests. This also includes studying the counterparty’s objectives to understand if they could go against our client’s interests in the future.
  • Identifying any legal issues – such as any potential for antitrust violations as well as investigating any obligations to third-party companies or employees.
  • Preparation our clients for the signing of any binding agreements. For example, ensuring that all relationships with third parties (suppliers, collaborators, etc.) have been formalized and any relevant contracts terminated before any new agreement is formally entered into.
  • The review and drafting of contracts – including any ancillary contracts such as exclusive agreements or guarantee deposits.
  • Following all of the legal aspects relating to economic transactions on behalf of our clients.

Corporate Governance

Even the smallest startup needs to establish and follow regulations governing its internal mechanisms. Here, Corporate Law lawyers provide assistance to clients with the drafting of shareholder agreements in order to ensure that the principles for stabilizing the ownership structure of the activity are clear in black and white. This is in addition to providing counsel on the regulations concerning generational changes and codes of conduct for senior management.

Setting Up Branches of Business Internationally

Opening a company, or a branch of a company, abroad requires one to confront a new set of regulations. Thanks to PF Law’s close collaboration with a law firm based on Milan our team is able to provide counsel on establishing a branch of business on the Italian peninsula.

Cross-border operations

From the moment a company opens a branch of business abroad, or even collaborates with a foreign entity, it is important that all of the legal implications concerning economic transactions are considered as different jurisdictions means different regulations and tax implications.

The PF Law’s team has a wealth of experience advising clients on cross-border transactions – whether they are straight forward or more complex ones.
